Terms of Service

1. Service Agreement

These Terms of Service (“Terms”) constitute an agreement between Xourcy LLC (“Provider”) and any customer (“Client”) who purchases or uses Provider services. By engaging Provider, Client agrees to these Terms.

2. Scope of Services

Provider offers two primary engagement models:

• Staff Leasing (EOR model): Provider supplies pre-vetted professionals who are on Provider payroll and are assigned to Client. Client manages tasks, schedules, and day-to-day direction.
• Managed Services (Outcome model): Provider owns delivery of a defined function or outcome. Provider assigns agents and management (including a Team Leader) and operates the execution process (training, QA, and attendance).

3. Elasticity & Termination

• No Long-Term Lock-in: Services are designed to be flexible and scalable based on Client needs.
• Cancellation: Client may terminate services at any time. No cancellation fees and no penalties.

4. Zero Liability Promise

Provider assumes responsibility for classification, payroll, and applicable benefits for personnel on Provider payroll. Client is responsible for defining requirements, granting access to tools (where applicable), and complying with Client-side policies and obligations.

5. Payment & Invoicing

Services are billed monthly. Invoices are due upon receipt unless net terms are granted in writing. Late payments may delay deployment, continuation of service, or delivery of work.

6. Governing Law

These Terms are governed by the laws of the State of Wyoming. Any disputes will be handled in the courts of Sheridan County, Wyoming.
